Russell R. Miller

Russell Miller's practice includes extensive work in small-to-medium sized business representation and commercial law, including a significant representation in real-estate matters. He has represented a diverse selection of businesses and has extensive experience with the formation of for-profit and non-profit corporations, limited liability companies and partnerships. Mr. Miller is also familiar with entity operations such as entity and governance matters, employment law, commercial law, UCC and contract drafting negotiation and similar matters encountered on a day-to-day basis. Prior practice in bankruptcy and civil litigation enhance these areas of practice.

Mr. Miller also has significant experience in a wide range of real estate transactions and related loan transactions, including ground and occupancy leases, lease negotiation and drafting, large purchases and sales and like-kind exchanges pursuant to §1031 of the Internal Revenue Code.

He has also developed estate planning as a growing portion of his practice, arising out of his representation of business and real estate owners, including assistance in adopting an estate plan, design and drafting of documents to effect the estate plan and preparation of documents necessary to fund and/or carry out the estate plan. He has experience with plans of a broad scope and documents ranging from simple wills and powers of attorney to trusts and family limited partnerships and/or limited liability companies.
